1. Introduction and Agreement to Terms
This document constitutes a legally binding agreement ("Terms") between you ("User," "you") and Grininfotech Global Software Services Private Limited ("Service Provider," "we," "us"). These Terms govern your access to and use of the Eazy Collect App ("Application").
By using or accessing the Application, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree, you must immediately discontinue use of the Application.
2. Definitions
For the purposes of these Terms, the following definitions shall apply:
- "Application" or "App" means the Eazy Collect App, including all features, functionalities, updates, and services made available through it.
- "Service Provider," "we," "us," or "our" refers to Grininfotech Global Software Services Private Limited, the owner and operator of the Application.
- "User," "you," or "your" refers to any individual or legal entity accessing, downloading, installing, registering for, or using the Application.
- "Account" means the personalized access credentials created by the User to access certain features of the Application.
- "Content" means all text, images, audio, video, data, information, or other material provided, uploaded, transmitted, or accessed through the Application.
- "Third-Party Services" refers to any applications, software, platforms, or services that are owned and operated by entities other than the Service Provider, which may be integrated into or accessible through the Application (e.g., Google Play Services, Firebase Crashlytics, SignDesk payment gateway).
- "Terms" means this Terms and Conditions document, including all amendments, modifications, or supplements made from time to time.
- "Applicable Law" refers to all statutes, regulations, ordinances, and legal requirements in force under the laws of the Republic of India.
Definitions Reference and Precedence Clause:
Unless expressly stated otherwise, all capitalized terms used in these Terms shall have the meaning assigned to them in this section. In the event of any inconsistency or conflict between the definitions provided in this section and those appearing elsewhere in these Terms, the definitions in this section shall prevail.
3. User Eligibility and Competency
Use of the Application is restricted to individuals who are at least 18 years of age and competent to enter into a contract under the Indian Contract Act, 1872. By using the Application, you represent and warrant that you meet these eligibility requirements.
4. Account Registration and User Obligations
- You may be required to register for an Account to access certain features of the Application.
- You must provide accurate, complete, and up-to-date information during registration.
- You are responsible for maintaining the confidentiality of your login credentials and for all activities conducted through your Account.
- You must immediately notify the Service Provider of any unauthorized use or suspected breach of security.
5. Intellectual Property Rights
The Service Provider retains all proprietary rights, title, and interest in the Application, including all associated copyrights, trademarks, trade secrets, and other intellectual property rights.
You are prohibited from reproducing, modifying, distributing, reverse-engineering, or creating derivative works from the Application without prior written consent from the Service Provider.
6. User Conduct and Restrictions
You agree to use the Application only for lawful purposes. You must not:
- Engage in fraudulent, deceptive, or malicious activity.
- Upload, post, or transmit unlawful, defamatory, obscene, or hateful content.
- Infringe upon the rights of any third party, including intellectual property or privacy rights.
- Introduce viruses, malware, or harmful code.
- Use the Application for unsolicited commercial messages or spamming.
7. Compliance with Anti-Bribery and Anti-Corruption Laws
You represent and warrant that your use of the Application complies with all applicable anti-bribery and anti-corruption laws, including the Prevention of Corruption Act, 1988 (India). You must not engage in or authorize any activity that constitutes bribery, corruption, or unlawful payments.
8. Third-Party Services
The Application integrates with Third-Party Services, including but not limited to Google Play Services, Firebase Crashlytics, and SignDesk for payment processing.
- We do not control or endorse third-party platforms and are not responsible for their content, policies, or practices.
- Your use of third-party services is subject to their respective terms and conditions.
9. Service Fees and Financial Responsibility
- Currently, the Application is provided free of charge.
- The Service Provider reserves the right to introduce or modify fees at any time with prior notice.
- You remain responsible for any charges levied by your mobile network provider (including data usage and roaming).
10. Disclaimer of Warranties
The Application is provided strictly on an "as-is" and "as-available" basis.
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
- We do not guarantee uninterrupted access, error-free functionality, or security of the Application.
11. Limitation of Liability
To the fullest extent permitted under Applicable Law, the Service Provider shall not be liable for:
- Any indirect, incidental, special, or consequential damages.
- Loss of profits, revenue, goodwill, or data arising from your use of the Application.
12. Termination of Service
We reserve the right to suspend or terminate your Account and access to the Application at any time without prior notice, including for:
- Breach of these Terms.
- Fraudulent, illegal, or abusive conduct.
Upon termination, all rights and licenses granted to you under these Terms shall cease immediately.
13. Modification of Terms
We may revise these Terms from time to time. Updates will be posted within the Application or on our official website. Continued use of the Application after such changes will be deemed acceptance of the updated Terms.
14. Governing Law and Dispute Resolution
- These Terms shall be governed by the laws of India.
- Any disputes shall first be attempted to be resolved amicably through negotiation or mediation.
- If unresolved, disputes shall be referred to arbitration in accordance with the Arbitration and Conciliation Act, 1996.
- The courts at Nagpur, Maharashtra shall have exclusive jurisdiction for all legal proceedings.
